Rachael Craven (Corporate, Dallas) advises banks, fintech companies, and technology platforms in navigating the complex legal and regulatory landscape governing financial products and services. She counsels clients across the full product lifecycle, from concept and structuring through launch and servicing, drawing on her experience developing disclosures and terms for credit, deposit, and payment products, structuring and negotiating bank-fintech program and vendor agreements, and designing market-ready financial product frameworks. Craven received her undergraduate degree from the University of Virginia and her law degree from the University of Mississippi School of Law.

Corinne Sullins Davis (Corporate, Houston) advises public and private companies, private equity sponsors, and strategic investors on mergers and acquisitions, divestitures, joint ventures, and corporate governance matters. Her practice spans across various industries with a focus on energy, hospitality, and healthcare. Davis received her undergraduate degree from Texas A&M University, magna cum laude, and her law degree from the University of Texas School of Law.

Jason R. Eisenberg (Tax and ERISA, New York) focuses his practice on federal income tax law, with a particular emphasis on renewable energy transactions and tax credit matters. Bethany Frank (Capital Finance and Real Estate, New York) regularly represents some of the largest and most experienced lending institutions in their multi-faceted real estate transactions. Her practice includes a variety of commercial real estate transactions, including acquisitions and dispositions, construction and real estate finance, with a focus on mortgage lending, mezzanine lending, credit facilities and co-lending and participation arrangements, as well as loan workouts and restructuring. Greg Funk (Tax and ERISA, Charlotte) represents REMICs, REITs, other pass-through entities, and issuers and underwriters concerning various aspects of income tax structuring of structured finance and securitization. Funk received his undergraduate degree from the University of North Carolina at Chapel Hill and his law degree from Washington and Lee University School of Law, magna cum laude.

Philip M. Guffy (Capital Finance and Real Estate, Houston) advises clients on all aspects of insolvency matters and bankruptcy cases. He represents debtors, secured lenders, unsecured creditors, boards of directors, and various official and ad hoc committees. Guffy received his undergraduate degree from the University of Houston and his law degree from Brooklyn Law School, magna cum laude.

Nathaniel B. Jones (Corporate, Charlotte) advises financial institutions and their holding companies in a wide range of transactional, corporate, and regulatory matters, including corporate governance matters, securities offerings, mergers and acquisitions, and general bank regulatory matters. James J. La Rocca (Labor and Employment, New York) represents employers in a wide array of labor and employment matters, including litigation before federal and state courts, government agencies, and arbitrators, often involving business critical, complex, novel, and/or sensitive legal issues. She represents financial institutions across various renewable energy partnership flip transactions on both single project and portfolio project financings and across a range of power generating technologies, including solar, wind, battery storage, and geothermal projects. Douglas J. Murphy (Energy and Infrastructure, New York) is a finance lawyer who counsels banks, institutional investors, sponsors, and other financial institutions in commercial financing matters across a range of industries and asset classes, with a particular focus on the financing of data centers and other energy and infrastructure projects. Additionally, he represents sponsors and institutional credit funds in complex debt financings, including warehouse and repurchase facilities secured by commercial real estate assets. Murphy received his undergraduate degree from Columbia University and his law degree from Fordham University School of Law.

Samantha Gilley Rachlin (Capital Finance and Real Estate, Houston) advises nonprofit and governmental clients on tax-exempt financings for capital projects nationwide. She has experience serving as bond counsel, borrower’s counsel, disclosure counsel, and underwriters’ counsel in connection with a broad range of complex financing structures, with an emphasis on transactions for non-profit corporations across the country. Jennifer Potts Seybold (Tax and ERISA, Washington) focuses her practice on federal tax controversies and litigation. Drawing from her experience representing the IRS, she advises clients in resolving their tax issues, particularly those involving renewable energy tax credits, tax information reporting, and IRS procedure. Kevin V.
